Woodlands Commercial selects under-performing retail or multi-family commercial investments. On each purchase, we partner with selected investors to purchase the properties.

Investors achieve a preferred return (usually 8% depending on the investment) and the remaining return (if any) is split on a 50/50 basis between the investors and Woodlands Commercial.

If preferred returns are not achieved in year 1, they are accumulated and paid out in the next year or a subsequent year or on a refinance or sale of the property.

  • Woodlands Commercial will be the managing member and asset manager.
  • 90/10 split between the investors and Woodlands Commercial for all required equity.
  • The negotiated preferred return is paid from NOI after debt service.
  • Woodlands Commercial subordinates its preferred return to the investor’s 8% preferred return.
  • Negotiated split between the investors and Woodlands Commercial of the net proceeds from sale or refinancing.
  • Investors maintain the approval rights to major decisions such as anchor leases, sale or refinancing. Woodlands Commercial provides detailed monthly reporting to investors.
